These Doma Forge Grant Terms and Conditions (“Terms”) govern your participation in the Doma Forge Grant
Program (the “Program”), operated by the Doma Foundation (the “Foundation”). By applying for or accepting a
grant, you agree to be bound by these Terms, as well as the Doma Terms of Service and
Privacy Notice, which are incorporated herein by
reference.
Eligibility
To be eligible for a grant under the Program:

You must be at least 18 years old and have the legal capacity to enter into binding agreements.

You must not be a resident or national of, or located in, any country or region subject to comprehensive
sanctions administered by OFAC or any other applicable sanctions authority (e.g., Cuba, Iran, North Korea,
Syria, or the Crimea, Donetsk, or Luhansk regions of Ukraine), nor may you appear on any government
sanctions list, including the U.S. Treasury’s Specially Designated Nationals (SDN) List.

Not be currently employed by, or under contract with Doma Foundation (or D3 Global, Inc., where the latter
has provided the grant funds) unless otherwise agreed in writing.
- The Foundation reserves the right to request proof of eligibility and to disqualify any applicant who
does not meet these criteria.
Discretionary Nature of Grants
For purposes of these Terms, a “Grant” refers to any financial support or contribution provided by the
Foundation under the Program.
Grant applications are reviewed at the sole discretion of the Foundation.
Submitting an application does not guarantee approval, funding, or ongoing support.
The Foundation may decline, amend, suspend, revoke, or cancel a Grant at any time, for any reason, without
liability.
Application Materials
- All information and materials submitted (collectively, “Submission”) must be accurate, complete, and
your original work (or properly licensed).
- By submitting, you represent and warrant that:

You own or have rights to all content in your Submission.

Your Submission does not violate any applicable laws or infringe the rights of any third party.
Use of Grant Funds and Milestones

Grant funds must be used solely for the purposes described in your approved application.

Disbursements may be contingent on milestone achievements or deliverables, subject to review.

Any deviation from the agreed-upon scope requires prior written approval.
Open-Source Deliverables and License

All software, documentation, or other work product developed using Grant funds (“Deliverables”) must be
made publicly available under a permissive open-source license recognized by the Open Source Initiative
(e.g., MIT, Apache 2.0), unless otherwise agreed in writing.

You grant the Foundation and the public a worldwide, perpetual, irrevocable, royalty-free license to use,
reproduce, modify, display, and distribute the Deliverables under the applicable open-source license.

You warrant that the Deliverables are either original or that you have the rights necessary to grant this
license.
No Partnership or Employment

Participation in the Program does not create an employment, partnership, fiduciary, or agency relationship
between you and the Foundation.

You are solely responsible for any tax obligations arising from receipt of a Grant.
Convertible Grants
From time to time, the Foundation may offer a “Convertible Grant” in lieu of a traditional
no-strings-attached award. These may include optional commercial terms—such as equity, token warrants, or
convertible instruments—to align incentives with the growth of the Doma ecosystem.
Participation in any Convertible Grant is optional and subject to separate documentation. Terms will be
disclosed before any award, and you may opt in or decline without prejudice to other opportunities.
Convertible Grants are still expected to meaningfully support the open Doma Protocol and may carry
additional public benefit or transparency obligations.
Potential Collaboration with D3 Global, Inc

D3 Global, Inc., a core contributor to the Doma Protocol and primary funder of the Forge program, may
separately offer select grantees opportunities for deeper collaboration. This may include:
- Transitioning to a paid contractor or Developer-in-Residence (EOR or IC model);
- Formal work-for-hire arrangements;
- Strategic spinouts of successful applications with D3 retaining an equity stake.
- Introductions to strategic investors, advisors, or ecosystem partners within D3’s broader network.

Such arrangements are distinct from the Grant and require a separate mutual agreement. A Grant does not
create any obligation to work with D3, nor does it guarantee further collaboration.
Publicity and Attribution

Unless you opt out in writing, the Foundation may reference your name, project title, and high-level
project description in marketing or promotional materials.

You agree to acknowledge Foundation support in any public-facing project materials (e.g., README,
website).
Termination and Clawback
The Foundation may terminate your Grant at any time if you breach these Terms, fail to meet project
milestones, misrepresent your identity or qualifications, or engage in fraudulent or unlawful conduct.
In such cases, the Foundation may require the return of any unused Grant funds.
Non-Transferability and Retroactivity

Grants are non-transferable and may not be assigned or sublicensed.

Work performed prior to formal approval of a Grant is not eligible for retroactive funding, unless
otherwise agreed in writing.
Right to Amend / Modifications

The Foundation reserves the right to modify these Terms at any time in its sole discretion.
