Introduction

These Terms of Service ("Terms") govern your access to and use of the Doma Protocol, Protocol, website, and related services (collectively, the "Services") provided by the Foundation ("we", "us", "our"), a Cayman Islands foundation company.

The Doma Protocol is a purpose-built blockchain designed to enable DomainFi and revolutionize the traditional domain landscape by transforming domains into programmable, blockchain-based assets. By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Services.

Eligibility

You must be at least 18 years old to use the Services. By using the Services, you represent and warrant that you meet all eligibility requirements. If you are accessing or using the Services on behalf of an entity, you represent and warrant that you have the authority to bind that entity to these Terms.

The Doma Protocol and DomainFi

Nature of the Protocol

The Doma Protocol is a decentralized blockchain protocol specifically designed for DomainFi applications. DomainFi refers to the integration of domains with decentralized finance capabilities, allowing domains to function as programmable, blockchain-based assets with enhanced utility, liquidity, and value.

Protocol Capabilities

The Doma Protocol enables:

• Transformation of traditional domains into on-chain, programmable assets
• Creation of liquid markets for domain name trading and investment
• Development of decentralized applications (dApps) utilizing domain-based assets
• Implementation of smart contracts that leverage domain ownership and attributes
• Secure and transparent domain transactions with blockchain verification

Protocol Operation

The Doma Protocol operates autonomously based on its underlying code. We do not control the blockchain or transactions conducted through the protocol. Once deployed, the smart contracts and blockchain operations function based on their programming.

User Control and Responsibility

You are solely responsible for:

• Maintaining the security of your wallet and private keys
• Understanding the risks associated with blockchain technology and DomainFi
• Verifying all transaction details before submission
• Understanding that blockchain transactions are typically irreversible
• Ensuring you comply with all applicable laws and regulations when using the Services
• Conducting due diligence on domain-based assets before engaging in transactions

Wallet Integration

Connecting Your Wallet

To interact with the Doma Protocol and participate in DomainFi activities, you need to connect a compatible cryptocurrency wallet. By connecting your wallet, you agree to be bound by these Terms and any applicable terms of your wallet provider.

Security

You are responsible for maintaining the security of your wallet and private keys. We are not responsible for any loss of access to your wallet, loss of private keys, or unauthorized transactions.

Programmable Domain Assets

Domain Asset Functionality

The Doma Protocol enables domains to function as programmable assets that can:

• Be bought, sold, and traded on the protocol
• Serve as collateral for DomainFi applications
• Generate yield through various protocol mechanisms
• Integrate with other blockchain applications and services
• Be fractionalized or bundled based on protocol capabilities

Domain Ownership Rights

While the Doma Protocol enables blockchain-based transactions of domain assets, users must understand:

• The relationship between on-chain domain assets and traditional domain registrations
• Any limitations on rights transferred through protocol transactions
• The potential need for additional steps to complete domain ownership transfers in traditional registry systems
• The protocol represents domain assets but may not itself confer legal title to domains

Prohibited Activities

You agree not to:

• Violate any applicable law, regulation, or third-party rights
• Use the Services for any illegal or unauthorized purpose
• Attempt to circumvent or manipulate the protocol or its functionalities
• Interfere with or disrupt the Services or servers connected to the Services
• Introduce malicious code, viruses, or harmful data to the Services
• Use the Services to conduct transactions involving illegal goods or services
• Attempt to gain unauthorized access to any part of the Services
• Use the Services in any manner that could disable, overburden, or impair the Services
• Misrepresent domain ownership or characteristics

Intellectual Property

Our Intellectual Property

The Services, including all content, features, and functionality, are owned by the Doma Foundation or its licensors and are protected by copyright, trademark, and other intellectual property laws.

Open Source Components

Certain components of the Doma Protocol may be open source and subject to open source licenses. Nothing in these Terms will restrict your rights under any applicable open source license.

Limited License

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for their intended purposes.

Risks

DomainFi Risks

Participation in DomainFi through the Doma Protocol involves specific risks, including but not limited to:

• Market volatility for domain-based assets
• Liquidity risks in emerging domain markets
• Smart contract vulnerabilities specific to domain applications
• Regulatory uncertainty around domain-backed financial applications
• Technical challenges in bridging traditional domain systems with blockchain
• Potential disputes regarding domain ownership or rights

Blockchain Risks

Using blockchain technology involves significant risks, including but not limited to:

• Volatility in cryptocurrency values
• Regulatory uncertainty
• Smart contract vulnerabilities
• Network congestion and high transaction fees
• Protocol or infrastructure failures
• Loss of access to private keys
• Potential for protocol changes or "forks"

No Guarantees

We do not guarantee:

• The continued operation of the Doma Protocol
• The security or functionality of the protocol
• The value or liquidity of any domains transacted through the protocol
• The availability of the Services
• The accuracy or reliability of any information provided through the Services
• The successful completion of off-chain domain transfers or registrations

Nothing in the Services constitutes financial, investment, legal, tax, or other advice. All information provided through the Services is for informational purposes only.

As-Is Services

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

Technical Limitations

We do not warrant that the Services will function without interruption, errors, or imperfections.

We do not warrant that the Services are free from viruses or other harmful components.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL THE DOMA FOUNDATION, ITS AFFILIATES, OR THEIR RESPECTIVE DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR ACCESS TO OR USE OF, OR INABILITY TO ACCESS OR USE, THE SERVICES.

OUR TOTAL LIABILITY FOR ALL CLAIMS RELATED TO THE SERVICES SHALL NOT EXCEED THE GREATER OF $100 USD OR THE AMOUNT YOU PAID TO US TO USE THE SERVICES IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY.

Indemnification

You agree to indemnify, defend, and hold harmless the Doma Foundation, its affiliates, and their respective directors, officers, employees, and agents from and against any claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from:

• Your use of the Services
• Your violation of these Terms
• Your violation of any rights of another party
• Your violation of any applicable laws or regulations

Modifications to the Terms

We reserve the right to modify these Terms at any time. If we make material changes, we will provide notice through the Services or by other means. Your continued use of the Services after the changes become effective constitutes your acceptance of the changes.

Termination

We reserve the right to suspend or terminate your access to the Services at any time for any reason without notice. Upon termination, all rights granted to you under these Terms will immediately cease.

Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Cayman Islands, without regard to its conflict of law principles.

Any dispute arising out of or relating to these Terms or the Services shall be finally settled by binding arbitration administered by the International Chamber of Commerce in accordance with its arbitration rules. The arbitration shall take place in the Cayman Islands, and the language of the arbitration shall be English.

Miscellaneous

Entire Agreement

These Terms constitute the entire agreement between you and the Doma Foundation regarding the Services and supersede all prior agreements and understandings.

Severability

If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced.

No Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of such right or provision.

Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations under these Terms without restriction.

Force Majeure

We will not be liable for any delay or failure to perform resulting from causes outside our reasonable control, including acts of God, natural disasters, terrorism, riots, war, epidemics, embargoes, acts of civil or military authorities, fire, floods, accidents, network infrastructure failures, strikes, or shortages of transportation facilities, fuel, energy, labor, or materials.
